ARTICLE I
Name and Boundaries
Section 1. The name of the organization shall be the Maine Chapter of the American Public Works Association. The territory included within the boundaries of this Chapter shall be the State of Maine.
ARTICLE II
Purposes
Section 1. The purposes of this Chapter shall be the advancement of the theory and practice of the design, construction, maintenance, administration, and operation of public works facilities and services: the dissemination of information about, experience with, and the promotion of improved practices in public works administration; the encouragement of the adherence by public works officials to a high professional standard; and the professional and social improvement of its members, as set forth in the Constitution of the American Public Works Association.
Section 2. The Chapter is not organized for profit, and no part of the earnings shall benefit any member or officer except as compensation for services rendered or for necessary expenses actually incurred.
ARTICLE III
Membership
Section 1. Members of the American Public Works Association residing in the State of Maine shall hold the same type of membership in the Chapter that they hold in the Association. The following are the major types of Association memberships:
a. Individual Membership: Any person who is actively engaged in the field of public works.
- Officials or employees of government agencies( Example include: Public Works Directors, City Managers, Asst. Engineer, Garage Superintendent, Fleet Management Director, etc.)
Employees of manufacturers, suppliers, contractors, and consulting firms( Examples include: President, Director, Consultant, Area Manager, Architect, Marketing Representative, etc.)
b. Associate Membership: Any person, not qualifying as an individual member, but who has an interest in public works activities. ( Examples include: Professor, Journalist, Librarian, Citizen, etc.)
c. Public Agency Membership: Any federal, provincial, local, or other public agency concerned with Public Works. The number of individual memberships and the annual fee for an agency are based on the population.
d. Corporate Membership: Any non-governmental entity, including public utilities, furnishing public services or products. There are four levels of corporate membership. Each level offers a variety of benefits. Please contact APWA Corporate affairs at 1-800-848-APWA for information.
ARTICLE IV
Officers and Executive Committee
Section 1. The governing body of the Chapter shall be the Executive Committee, consisting of:
a. The President and Vice President who shall be "active members" of the Maine Chapter as defined in Article III, Section 1a. The President and Vice President shall be elected for terms of one calendar year for a maximum of 2 consecutive years.
b. The Secretary and Treasurer who shall be "active members" of the Maine Chapter as defined in Article III, Section 1a. The Secretary and Treasurer shall be elected for terms of one calendar year.
c. Eleven (11) Chapter Directors who shall be members of the Chapter as defined in Article III. Directors shall be elected for terms of two calendar years. (Amended to 11 on 10/15/98).
d. The most recent living Past President.
e. The Chapter's representative to the House of Delegates who shall be appointed by the Executive Committee for terms of three calendar years and shall serve no more than two consecutive terms.
f. The Chairman of each Chapter Branch.
1. Institute for Municipal Engineers
g. Honorary Director : An Honorary Director shall be a voting Director who is retired and interested in serving the Chapter. The Honorary Director must have previously served on the Board of Directors for at least two terms. The term and voting privileges shall be identical to that of a Director. All the existing By-law rules governing conduct and meeting attendance shall apply to this position. The nominating committee shall bring forward to the Board of Directors names of individuals interested in this position. (Section Added 10/15/98)
Section 2. All members of the Executive Committee shall be voting members and shall be National APWA members by January 1, 1997 or vacate their seat on the APWA Maine-Chapter Executive Committee.
Section 3. In the event of a vacancy on the Executive Committee, the remaining members of the Committee shall have the power to elect a qualified Chapter Member to fill the unexpired term of office.
Section 4. Should, without prior notice and without good cause, any member of the Executive Committee fail in any six month period to attend at least 50% of the regularly scheduled meetings, then the President shall contact that member and request a statement of intent. If there is no satisfactory response within one month, then that member shall be deemed to have resigned from the Executive Committee. (Section Added 10/9/97).
ARTICLE V
Duties of Officers and Executive Committee
Section 1. The President shall be the Chief Executive Officer of the Chapter. The President shall preside at all meetings and shall be Chairman of the Executive Committee. The President shall appoint all Committees, standing and special, and act as an ex-officio member of each Committee. The President shall perform such other duties as may from time to time be assigned by the Executive Committee.
Section 2. The Vice-President shall occupy the position of President and perform all of the President's duties if for any reason the President is absent and shall perform such other duties as may from time to time be assigned by the Executive Committee.
Section 3. The Secretary shall keep all records and conduct all correspondence of the Chapter. The Secretary shall prepare and submit to the American Public Works Association such reports as may be required.
Section 4. The Treasurer shall collect Chapter dues and receive all monies, depositing them in a bank in the name of the Chapter. All checks and vouchers must be signed by the Treasurer. At each meeting of the Executive Committee, all checks written since the previous Executive Committee meeting shall be approved by the Executive Committee. The Treasurer shall prepare and submit financial reports annually to the Executive Committee and at such other times as requested by the Executive Committee. The Treasurer shall prepare and submit to the American Public Works Association such reports as may be required.
Section 5. The Chapter's representative to the House of Delegates (Delegate) shall represent the Chapter to that body, attending regional and annual meetings, bringing Chapter concerns to their attention, and informing the Chapter of House of Delegates activities. The Delegate shall prepare and submit to the American Public Works Association such reports as may be required. If the Delegate is unable to attend the House of Delegates meeting, an alternate who is a member of the Executive Committee shall be appointed by the President.
In the event that the local community or organization cannot provide financial support for the delegate, the Chapter will reimburse the delegate for travel, lodging, meals, and registration. The reimbursement amount shall be approved by the Board of Directors by vote.
Section 6. The Executive Committee shall manage all the affairs of the Chapter in accordance with the rules and regulations of the Board of Directors of the American Public Works Association.
Section 7. The Executive Committee shall not enter into any contract involving any liability of the American Public Works Association without approval and formal delegation of authority in each instance by the board of Directors of the Association.
ARTICLE VI
Meetings
Section 1. Meetings of the Chapter shall be held one or more times a year, the dates and places to be determined by the Executive Committee. The membership shall be notified at least two weeks in advance of the date and place of the annual meeting. Special meetings of the Executive Committee shall be held on the call of the President or on the request - in writing - of any three members of the committee.
ARTICLE VII
Quorum
Section 1. A majority of the voting members shall constitute a quorum at an Executive Committee meeting.
Section 2. A minimum of fifteen members shall constitute a quorum to do business at a meeting of members.
ARTICLE VIII
Dues
Section 1. The annual dues shall be that portion of the annual service fee paid to the American Public Works Association that is assigned to the Chapter by the Board of Directors of the Association.
ARTICLE IX
Election of Officers
Section 1. The President shall appoint, not less than thirty days prior to the date fixed by the Executive Committee for its report, a nominating committee of three members, who shall report the names of candidates for each position to be voted upon at the annual election.
Section 2. The annual election shall be held at the time and place of the fall annual
meeting, which shall be held not later than November 1. Additional nominations for any office may be made by members at the meetings. A majority of votes cast by qualified voting members present is required to elect an officer. All members of the Chapter in good standing present shall be eligible to vote.
Section 3. Newly elected officers shall assume office on January 1 following the annual election.
ARTICLE X
Chapter Branches
Section 1. Any group of ten (10) or more members of the Chapter may petition the Executive Committee to form a Branch within the Chapter. The Executive Committee may authorize the establishment of such groups by adopting a resolution which provides for its name, jurisdictional boundaries, approval of proposed bylaws, method of conducting its affairs, the submission of periodic reports on its activities to the Executive Committee and the appointment of temporary committee to arrange for the organizational meeting of the Branch.
Section 2. The officers and members of each Branch shall be members of the American Public Works Association.
Section 3. The Chairman of each Branch, who shall be elected in accordance with the Branch Bylaws, shall serve as a member of the Executive Committee of the Chapter.
Section 4. The Executive Committee shall not authorize Branches to engage in activities which are inconsistent with the Constitution of the Association, the rules and regulations of the Board of Directors of the American Public Works Association, or the Bylaws of the Chapter.
ARTICLE XI
Amendments
Section 1. Amendments to these Bylaws may be proposed by initiatory petition submitted to the Executive Committee in writing and signed by not less than eight members or by resolution of the Executive Committee. Proposed amendments shall be presented to the membership within one year after the date of their submission at a meeting of the Chapter or by letter ballot as may be determined by the Executive Committee. Provided, however, that the Executive Committee may, within sixty days after receipt of any abatement proposed by initiatory petition, return same to the petitioners with a letter of explanation requesting that the proposed amendment be modified before it is presented to the membership with or without the approval of the Executive Committee. An affirmative vote of two-thirds of the qualified votes cast shall be necessary for the adoption of a proposed amendment.
Section 2. These Bylaws and such amendments as may be made from time to time shall become effective upon adoption by the Chapter and approval by the board of Directors of the American Public Works Association.
